Terms of Service

Welcome to Neuroflix. These Terms of Service ("Terms") constitute a legally binding agreement between you and Neuroflix Pte. Ltd. (UEN 202435935E), a company incorporated in Singapore with its registered office at 65 Mohamed Sultan Road, Singapore 239003 ("Neuroflix", "we", "us", or "our").
These Terms govern your access to and use of the Neuroflix platform, available at neuroflix.io and any associated applications, services, and tools (collectively, the "Platform").
1. Acceptance of Terms
By accessing or using the Platform, creating an account, or enrolling in any course, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you are accepting these Terms on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms. In such cases, "you" refers to both you individually and the organisation you represent.
If you do not agree to these Terms, you must not access or use the Platform.
2. Definitions
- "Organisation" means an entity that has registered on the Platform to create, manage, and distribute training courses to Learners.
- "Organisation Staff" means individuals authorised by an Organisation to manage courses, cohorts, enrolments, and analytics on the Platform, including Owners, Administrators, and Managers.
- "Learner" means an individual who enrols in one or more courses on the Platform through an Organisation's cohort.
- "Course" means a structured learning programme consisting of modules, lessons (including video content), assessments, and related materials uploaded or configured by an Organisation.
- "Cohort" means a specific instance of a Course with defined enrolment settings, access controls, deadlines, and optional payment requirements.
- "Content" means all course materials, videos, questions, learning objectives, and associated data uploaded to or created on the Platform.
- "Assessment" means checkpoint questions, post-lesson quizzes, short-answer questions, and any other evaluative components within a Course.
- "Certificate" means the digital certificate of completion issued to a Learner upon successfully completing all requirements of a Course.
- "Platform Fee" means the fees charged by Neuroflix for use of the Platform, as communicated to Organisations during onboarding or as otherwise agreed.
- "User" means any individual who accesses or uses the Platform, including Organisation Staff and Learners.
3. Eligibility
You must be at least eighteen (18) years of age to use the Platform. By using the Platform, you represent and warrant that you meet this age requirement.
If you are registering on behalf of an Organisation, you further represent that: (a) the Organisation is a legally constituted entity; (b) you are authorised to act on its behalf; and (c) the Organisation agrees to be bound by these Terms.
4. Account Registration and Security
To access certain features of the Platform, you must create an account. Authentication is managed through our identity provider. You agree to:
- provide accurate, current, and complete information during registration;
- maintain the security and confidentiality of your login credentials;
- promptly notify us of any unauthorised use of your account; and
- accept responsibility for all activities that occur under your account.
Neuroflix reserves the right to suspend or terminate accounts that are suspected of being compromised or used in violation of these Terms.
5. Platform Description
Neuroflix is a learning management platform that enables Organisations to deliver video-based training courses with interactive assessments, AI-assisted grading, analytics, and certificate issuance to Learners. The Platform provides:
- Course Management: Upload and organise structured courses with modules, video lessons, learning objectives, and assessments.
- Enrolment and Cohort Management: Configure cohorts with flexible access modes (invitation, public link, or access code), seat limits, deadlines, and optional payment requirements.
- Video-Based Learning: Interactive video player with checkpoint questions, seek controls, and session tracking.
- Assessments: Multiple-choice and short-answer questions with automated and AI-assisted grading.
- Analytics: Learner engagement metrics, score distributions, and progress tracking for Organisation Staff.
- Certificate Issuance: Automated digital certificates upon course completion, with public verification.
- Payment Processing: Integrated payment collection for paid courses via third-party payment processors.
- SCORM Export: Export course content as SCORM 1.2 packages for use in third-party learning management systems.
- Enterprise Features: Single sign-on (SSO), directory synchronisation (SCIM), and domain verification for enterprise Organisations.
6. Organisation Responsibilities
6.1 Content Ownership and Compliance
Organisations are solely responsible for all Content uploaded to or created on the Platform. By uploading Content, the Organisation represents and warrants that:
- it owns or has obtained all necessary rights, licences, and permissions to use and distribute the Content;
- the Content does not infringe upon any third-party's intellectual property rights, privacy rights, or other legal rights;
- the Content complies with all applicable laws and regulations, including but not limited to data protection, anti-discrimination, and industry-specific regulatory requirements; and
- the Content is accurate, not misleading, and fit for its intended educational purpose.
6.2 Video Hosting
Organisations are responsible for hosting their video content on their own content delivery infrastructure. The Platform embeds video content from Organisation-provided URLs. Neuroflix does not host, store, or control video files and is not responsible for the availability, quality, or performance of externally hosted video content.
6.3 Learner Management
Organisations are responsible for managing their Learners, including but not limited to enrolment decisions, setting appropriate deadlines, configuring seat limits, and communicating course requirements. Organisations must ensure that any personal data collected from Learners through the Platform is processed in accordance with applicable data protection laws.
6.4 Payment and Billing
Organisations that enable paid courses must connect a valid payment account through our supported payment processor. Organisations are responsible for setting course prices, managing their payment account, and complying with applicable tax obligations. Organisations acknowledge that applicable Platform Fees will be deducted from Learner payments as agreed during onboarding.
7. Learner Responsibilities
As a Learner, you agree to:
- provide accurate personal information, including your legal name, as required during enrolment and profile completion;
- complete courses honestly and without the use of fraudulent means, including but not limited to submitting your own work for assessments;
- not share, distribute, or reproduce course content without the express permission of the Organisation that owns the content;
- not attempt to circumvent video playback controls, checkpoint gating, or assessment mechanisms;
- comply with any deadlines, enrolment requirements, and conduct standards set by the Organisation; and
- make payment for paid courses promptly and in accordance with the terms presented at enrolment.
8. Content and Intellectual Property
8.1 Organisation Content
Organisations retain all intellectual property rights in the Content they upload to or create on the Platform. By uploading Content, Organisations grant Neuroflix a non-exclusive, worldwide, royalty-free licence to host, display, process, and transmit the Content solely for the purpose of operating and providing the Platform services, including generating SCORM exports, certificates, and analytics.
This licence terminates when the Organisation removes the Content from the Platform or when the Organisation's account is terminated, except to the extent that Content is incorporated into issued Certificates or SCORM packages already distributed.
8.2 Learner Submissions
Learners retain ownership of their assessment responses and submissions. By submitting responses on the Platform, Learners grant Neuroflix and the relevant Organisation a non-exclusive licence to process, store, and analyse submissions for the purposes of grading, analytics, and platform improvement.
8.3 Neuroflix Intellectual Property
All rights in the Platform software, design, user interface, documentation, branding, and proprietary technology (including AI grading models and algorithms) are owned by Neuroflix or its licensors. Nothing in these Terms grants you any right to use Neuroflix's trademarks, trade names, or branding without our prior written consent.
8.4 Feedback
If you provide suggestions, ideas, or feedback regarding the Platform, you grant Neuroflix an irrevocable, perpetual, royalty-free licence to use, modify, and incorporate such feedback without obligation to you.
9. AI-Powered Features
The Platform uses artificial intelligence to provide automated grading of short-answer assessment responses ("Neurograder"). By using the Platform, you acknowledge and agree that:
- short-answer responses submitted by Learners are processed by third-party AI services to generate marks, feedback, and evaluation results;
- AI-generated grades are automated outputs and may not perfectly reflect human judgement; while designed to be accurate and consistent, they are provided on an "as is" basis;
- Learner response text is transmitted to third-party AI providers for processing; Neuroflix does not control how third-party AI providers handle data beyond the terms of our agreements with those providers;
- AI grading results (including marks, strengths, weaknesses, and feedback) are stored on the Platform and made available to the Learner and the Organisation; and
- Organisations and Learners should not rely solely on AI-generated grades for consequential decisions without independent verification where appropriate.
10. Payments, Fees, and Billing
10.1 Learner Payments
Certain courses may require payment for enrolment. Prices are set by the Organisation and displayed at the time of enrolment. All payments are processed through our third-party payment processor. By making a payment, you agree to the payment processor's terms of service.
10.2 Platform Fees
Neuroflix deducts applicable Platform Fees from Learner payments before remitting the remainder to the Organisation's connected payment account. The applicable fee structure is communicated to Organisations during onboarding and may be updated from time to time with prior written notice.
10.3 Refund Policy
All Learner payments are final and non-refundable once enrolment is confirmed and course access has been granted. Neuroflix does not process refunds for completed enrolments.
If a Learner's payment has been processed but course access has not yet been activated due to a technical issue, the Learner should contact the Organisation or Neuroflix at general@neuroflix.sg to resolve the matter.
Organisations may, at their sole discretion, arrange refunds to Learners directly through their payment account. Neuroflix is not obligated to refund Platform Fees in respect of Organisation-initiated refunds.
10.4 Currency and Taxes
All prices displayed on the Platform are in the currency specified by the Organisation at the time of cohort creation. Users are responsible for any applicable taxes, duties, or charges imposed by their jurisdiction.
11. Certificates
Upon successful completion of all required lessons and assessments within a Course, the Platform automatically issues a digital Certificate to the Learner. You acknowledge that:
- Certificates are issued based on the Learner's performance as recorded on the Platform at the time of completion;
- each Certificate contains a unique certificate number and a publicly accessible verification link;
- the information displayed on a Certificate (including the Learner's legal name, course title, Organisation name, and final score) is captured at the time of issuance and is not retroactively updated;
- Certificates are for informational purposes and represent completion of a course on the Neuroflix platform; they do not constitute professional accreditation, academic credit, or regulatory certification unless explicitly stated by the issuing Organisation; and
- Certificates survive Learner withdrawal from a course, and public verification links remain accessible.
12. Data Collection and Privacy
Neuroflix collects and processes personal data in accordance with our Privacy Policy and the Singapore Personal Data Protection Act 2012 (PDPA). By using the Platform, you consent to the collection and processing of your data as described therein.
12.1 Data We Collect
The Platform collects the following categories of data:
- Identity Data: Name, email address, and authentication credentials.
- Profile Data: Legal first and last name, employee ID, department, company name, and job title (as provided by Learners during enrolment).
- Organisation Data: Organisation name, branding assets (logos), billing configuration, and staff membership details.
- Learning Data: Course progress, video watch history, assessment responses, scores, attempt counts, and session activity metrics.
- Payment Data: Transaction records, amounts, and payment processor references. Full payment card details are not stored on the Platform and are handled exclusively by our third-party payment processor.
- Usage Data: Video playback events, session duration, engagement metrics, and interaction patterns.
12.2 Data Processing Roles
For Organisation-uploaded Content and Learner data associated with a specific Organisation's courses:
- The Organisation acts as the data controller, determining the purposes and means of processing Learner personal data within their courses.
- Neuroflix acts as a data processor, processing Learner data on behalf of the Organisation to provide the Platform services.
For Platform-level account data and data not specific to any Organisation, Neuroflix acts as the data controller.
12.3 Data Retention and Deletion
Neuroflix retains User data for as long as your account is active or as necessary to provide the Platform services. Organisations may request deletion of their data and associated Learner data by contacting us at general@neuroflix.sg. Data deletion requests will be processed in accordance with applicable law and typically within thirty (30) days.
13. Third-Party Services
The Platform integrates with the following categories of third-party services to deliver its functionality:
- Authentication Providers: For secure user authentication, single sign-on (SSO), and directory synchronisation.
- Payment Processors: For processing Learner payments and managing Organisation payouts.
- AI Services: For automated grading of short-answer assessment responses.
- Email Delivery Services: For sending transactional emails including course invitations, enrolment confirmations, certificate notifications, and deadline reminders.
- Cloud Infrastructure: For database hosting, file storage, and application delivery.
Your use of the Platform is subject to the respective terms and privacy policies of these third-party services. Neuroflix is not responsible for the practices, policies, or availability of third-party services.
14. Acceptable Use
You agree not to use the Platform to:
- upload, transmit, or distribute any content that is unlawful, defamatory, obscene, fraudulent, or infringing;
- impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity;
- interfere with, disrupt, or compromise the integrity, security, or performance of the Platform or its underlying infrastructure;
- attempt to gain unauthorised access to any part of the Platform, other Users' accounts, or connected systems;
- use automated scripts, bots, crawlers, or similar tools to access or interact with the Platform without prior written consent;
- circumvent or attempt to circumvent any access controls, copy protections, usage limits, or authentication mechanisms;
- reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform;
- use the Platform in any manner that violates applicable laws or regulations; or
- facilitate or encourage any of the foregoing activities.
15. Service Availability
Neuroflix strives to maintain the Platform's availability and performance but does not guarantee uninterrupted or error-free operation. The Platform may be temporarily unavailable due to scheduled maintenance, upgrades, or circumstances beyond our reasonable control.
We reserve the right to modify, suspend, or discontinue any feature or aspect of the Platform at any time, with or without notice, subject to our obligations under applicable law.
16. Limitation of Liability
To the maximum extent permitted by applicable law, including the laws of Singapore:
- The Platform is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- Neuroflix shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill, arising out of or in connection with your use of or inability to use the Platform.
- Neuroflix's total aggregate liability to you for any claims arising out of or relating to these Terms or the Platform shall not exceed the greater of: (i) the total fees paid by you to Neuroflix in the twelve (12) months preceding the claim; or (ii) one hundred Singapore Dollars (SGD 100).
- Neuroflix does not warrant the accuracy, completeness, or reliability of any Content uploaded by Organisations or of any AI-generated grades, feedback, or assessment results.
- Neuroflix is not liable for the unavailability or performance of externally hosted video content or third-party services integrated with the Platform.
17. Indemnification
You agree to indemnify, defend, and hold harmless Neuroflix and its directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- your use of or access to the Platform;
- your violation of these Terms;
- your violation of any applicable law or third-party rights;
- Content you upload to or create on the Platform; or
- any dispute between you and a Learner or Organisation arising from use of the Platform.
18. Termination and Suspension
18.1 Termination by You
You may stop using the Platform at any time. Organisations may request account deactivation by contacting us at general@neuroflix.sg. Learners may withdraw from individual courses through the Platform.
18.2 Termination by Neuroflix
Neuroflix may suspend or terminate your access to the Platform, in whole or in part, at any time and for any reason, including but not limited to:
- violation of these Terms;
- fraudulent, abusive, or unlawful activity;
- non-payment of applicable fees; or
- at the request of law enforcement or a governmental authority.
18.3 Effect of Termination
Upon termination: (a) your right to access the Platform ceases immediately; (b) Neuroflix may retain your data as required by applicable law or legitimate business purposes; (c) Certificates previously issued remain valid and publicly verifiable; and (d) any accrued rights and obligations of either party, and provisions of these Terms that by their nature survive termination, shall continue in effect.
19. Modifications to These Terms
Neuroflix reserves the right to modify these Terms at any time. If we make material changes, we will notify you by updating the effective date at the top of these Terms and, where practicable, by email or through the Platform. Your continued use of the Platform following the posting of revised Terms constitutes your acceptance of the changes.
We encourage you to review these Terms periodically.
20. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law principles.
Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of Singapore.
21. General Provisions
21.1 Entire Agreement
These Terms, together with the Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Neuroflix regarding the Platform and supersede all prior agreements and understandings.
21.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
21.3 Waiver
No failure or delay by Neuroflix in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof. Any waiver must be in writing and signed by Neuroflix.
21.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Neuroflix may assign its rights and obligations under these Terms without restriction.
21.5 Force Majeure
Neuroflix shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, acts of government, pandemics, cyber-attacks, power outages, or failures of third-party services.
21.6 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights. Nothing in these Terms shall be construed to create any agency, partnership, or joint venture relationship between you and Neuroflix.
